Specialty Building Products is currently seeking an experienced Associate General Counsel to join our Legal team. This position will play a key role in managing legal matters across the organization, providing strategic legal guidance, mitigating risk, and ensuring compliance with applicable laws and regulations.

The Associate General Counsel will serve as a trusted advisor to business leaders, partnering across departments to support business objectives while protecting the organization's legal interests. This role will also oversee and coordinate with external counsel on specialized legal matters, litigation, and other business needs.

Duties & Responsibilities:

Legal Advisory & Business Partnership

  • Provide legal counsel and strategic guidance to senior leadership and business partners on a broad range of corporate and commercial matters.
  • Advise the organization on legal risks, regulatory requirements, and appropriate courses of action.
  • Draft, review, negotiate, and interpret commercial agreements, contracts, and other legal documents.
  • Partner with cross-functional teams, including Operations, Finance, HR, Procurement, IT, and other business functions, to support organizational initiatives.
  • Develop and recommend legal strategies that align with business objectives while minimizing potential risks.

Compliance & Risk Management

  • Monitor and advise on federal, state, and local laws and regulations impacting business operations.
  • Support the development and implementation of corporate policies, procedures, and compliance programs.
  • Identify potential legal and regulatory risks and recommend proactive mitigation strategies.
  • Provide guidance on data privacy, information security, intellectual property, and other corporate legal matters.
  • Support internal investigations, compliance reviews, and regulatory inquiries as needed.

Litigation & External Counsel Management

  • Manage and oversee litigation, disputes, and other legal proceedings involving the organization.
  • Coordinate with external counsel on litigation strategy, legal research, regulatory matters, and specialized legal issues.
  • Evaluate legal claims and recommend appropriate resolution strategies.
  • Manage outside counsel relationships, including legal expenses, performance, and case management.
  • Partner with HR and external employment counsel on personnel-related legal matters, as appropriate.

Legal Operations & Leadership

  • Develop, maintain, and improve legal processes, documentation, and internal controls to support efficient business operations.
  • Prepare and review legal reports, correspondence, policies, and other business documents.
  • Support corporate transactions, organizational changes, and strategic business initiatives as needed.
  • Provide guidance and support to internal stakeholders on legal matters and compliance requirements.
  • Manage legal projects and priorities across multiple business functions and locations.
  • May provide oversight, guidance, and development to legal team members or other assigned personnel.

Required Skills & Abilities

  • Strong knowledge of corporate law, commercial contracts, regulatory compliance, and risk management.
  • Excellent legal research, analytical, problem-solving, and negotiation skills.
  • Ability to provide practical, business-focused legal advice in a fast-paced corporate environment.
  • Strong communication and interpersonal skills, with the ability to effectively advise and influence senior leadership.
  • Demonstrated ability to manage complex legal matters and competing priorities independently.
  • Experience managing litigation and coordinating with external legal counsel.
  • Strong judgment, professionalism, and discretion when handling sensitive and confidential matters.
  • Ability to develop collaborative relationships across multiple departments and organizational levels.
  • Strong organizational skills and attention to detail.
  • Proficiency with Microsoft Office and legal research and contract management tools.

Education & Experience

  • Juris Doctor (JD) degree from an accredited law school required.
  • Active license to practice law in at least one U.S. jurisdiction and eligibility to practice as in-house counsel in the applicable work location required.
  • 7+ years of progressive legal experience in a corporate legal department, law firm, or combination of both preferred.
  • Experience advising on corporate and commercial legal matters, regulatory compliance, and risk management required.
  • Experience managing outside counsel and litigation preferred.
  • Previous in-house corporate counsel experience strongly preferred.
  • Experience within distribution, manufacturing, building products, or a multi-site organization is a plus.
  • Experience supporting mergers, acquisitions, and corporate integration initiatives is a plus.
